This document (together with all documents referenced herein) sets out the terms and conditions governing the use of the website – https://upgrade.education/ro/ (hereinafter referred to as the “Website”).
The purpose of the Website is to present and promote the services provided by UPGRADE EDUCATION SRL, and to enable potential clients to initiate service agreements with the Company via the Website.
We kindly ask you to read these Terms and Conditions, along with our Cookie Policy and Privacy Policy, before using the Website. By accessing and using the Website, you explicitly acknowledge the binding nature of these documents and agree to fully comply with them.
1. WHO WE ARE
UPGRADE EDUCATION SRL provides educational counseling and mentoring services for students who wish to study abroad. We support and guide young people through the academic exploration process, the selection of suitable programs, and the preparation of applications to top universities worldwide. In this document, we will refer to the company as “we,” “the Company,” or “Upgrade Education.”

2. INTELLECTUAL PROPERTY
The Company is the sole and exclusive owner of all intellectual property rights related to the content of the Website, including but not limited to: articles, texts, photos, illustrations, music, audio and video clips, trademarks, logos, and designs.
Visitors to the Website may access, download, and print materials published on the Website free of charge, strictly for personal and non-commercial use. No rights, title, or legitimate interest in the materials are transferred to visitors by performing any of these actions.
No content over which the Company holds intellectual property rights may be reproduced, distributed, or published in any form or by any means without the prior written consent of the Company. By using the Website, visitors agree not to copy, modify, sell, distribute, transmit, display, reproduce, publish, or create derivative works based on any content found on the Website.
3. USE OF THE WEBSITE
By using the Website, you agree to:
- Not submit any false or fraudulent requests. If we have reasonable grounds to believe such a request has been made, we reserve the right to disregard it and notify the relevant authorities.
- Provide your real full name, phone number, email address, and any other accurate contact information as requested. If you fail to do so, we may be unable to respond to your inquiry.
By using the Website for any purpose, you declare that you meet the legal requirements for entering into binding agreements and that you accept the obligations outlined in these Terms and Conditions, the Privacy Policy, and the Cookie Policy.
Simply using the Website or submitting a request through the available forms does not create any contractual obligation between the Company and the visitor/potential client.
The Website functions as an invitation to negotiate. Potential clients can initiate contact (by completing available forms or using any contact method listed) to begin negotiations leading to a services contract. The final contract will set out the essential legal and specific elements of the agreement, such as obligations and rights of both parties, pricing, warranties, liabilities, etc.
Interested individuals may place an order on the website by filling in the information requested in the order form, such as first name, last name, email address, phone number, and delivery address. They will acknowledge UPGRADE EDUCATION SRL’s Privacy Policy and Terms and Conditions by ticking the displayed checkbox(es). To proceed to the next step, click the “Submit order” button. At this point, interested individuals will be redirected to a secure web page to enter their card details and complete the payment.
By finalizing the order, the Buyer consents that all data provided by them, necessary for the purchase process, are correct, complete, and true at the time the order is placed.

Order cancellation: In the following cases, UPGRADE EDUCATION SRL, as the Seller, may unilaterally cancel an Order, without any party being entitled to claim damages from the other:
- the data provided by the Buyer are incorrect or incomplete;
- the transaction is not accepted by the Buyer’s card-issuing bank, in the case of online payment;
- the transaction is not validated by the card processor agreed by the Seller, in the case of online payment;
- in the order history, the Buyer appears to have more than two consecutive failed deliveries for reasons beyond the Seller’s control — where applicable;
- the Buyer’s activity on the website may cause any kind of damage to the Seller;
- in the case of a transaction that is suspicious or declared suspicious by any banking unit, institution, or authority;
- in the event of other objective reasons.
The Buyer may cancel an Order in the following cases:
- when contacted by the company’s representative, if for any reason they no longer wish to receive the ordered products;
- in writing at operations@upgrade.education up until receipt of the order dispatch email, which confirms that the parcel(s) have been handed over to the courier for delivery to the Buyer’s address.
Order confirmation: by sending a confirmation email.
Payment: Payment method by bank card.
Delivery: Delivery is carried out by courier within up to 5 days from confirmation of the order and stock availability.
4. LIMITATION OF LIABILITY
The Company shall not be held liable for any damages suffered by Website visitors, potential clients, or third parties as a result of using the Website or from the Company fulfilling its legal or contractual obligations.
Visitors use the Website and its services entirely at their own risk. They are responsible for safeguarding any information transmitted to/from the Website and for processing it in accordance with data protection legislation.
All content available through the Website is provided “as received”, without modification. The Company does not guarantee the accuracy, completeness, or currency of any information and assumes no responsibility for it.
5. OUR RIGHT TO MODIFY THE TERMS AND CONDITIONS
We reserve the right to review and modify these Terms and Conditions at any time, at our discretion.
You are responsible for reading the full Terms and Conditions, Cookie Policy, and Privacy Policy, as the applicable version will be the one in effect at the time of accessing the Website.
6. APPLICABLE LAW AND JURISDICTION
The use of the Website and any agreements concluded through the Website are governed by Romanian law.
Any disputes related to the use of the Website or to service agreements will be resolved amicably, and if that is not possible, by the competent Romanian courts.
7. PERSONAL DATA PROCESSING
The Company processes personal data in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016, and with the relevant national legislation.

PRIVACY NOTICE – REGARDING PERSONAL DATA PROCESSING
This privacy notice aims to inform the data subject (student, parent/legal guardian, or mentor) about how UPGRADE EDUCATION SRL collects, uses, transfers, and protects their personal data.

CATEGORIES OF PROCESSED DATA:
4.1. For Students:
- Full name, email, phone number, home address, personal identification number (CNP), ID series and number, age, date of birth, gender
- Education background, targeted universities, family study budget, extracurricular activities
- Preferences related to services/products offered by the Company
- Image, voice, signature, or other data shared during mentoring sessions
4.2. For Parents/Legal Guardians:
- Full name, ID series and number, personal identification number (CNP)
- Home address, email, phone number
- Information about the family budget allocated for the student’s education
4.3. For Mentors:
- Full name, email, phone number, home address, CNP, ID/passport details, age, gender, image, voice, bank account, job title, business registration copy (CUI or equivalent), signature
- Information from the CV, including education history
PURPOSES OF DATA PROCESSING:
- Providing educational counseling and career guidance services
- Organizing, conducting, and recording online sessions
- Communication regarding contracted services
- Issuing invoices and fulfilling accounting and tax obligations
LEGAL BASIS FOR PROCESSING:
- Performance of a contract – Art. 6(1)(b) GDPR
- Compliance with legal obligations – Art. 6(1)(c) GDPR
- Legitimate interest – Art. 6(1)(f) GDPR
The data subject has the right to object at any time, based on their specific situation. If the objection is justified, the Company will cease processing the data, unless there are compelling legitimate grounds that override the interests, rights, and freedoms of the data subject.
DATA RETENTION:
Personal data are stored for as long as necessary to achieve the stated purposes, and afterward, as required by law (e.g., for archiving purposes).
DATA SHARING:
The data will not be shared with third parties.
Within the Company, access to your data is strictly limited to authorized personnel (e.g., technical or management team), based on the “need-to-know” principle, and subject to confidentiality obligations.
